USDUC Kraken Promotion

1. Organizer

This promotion (the "Promotion") is organized by:

This Promotion is not sponsored, endorsed, administered by, or associated with X (formerly Twitter), Gleam.io, Kraken, or any other third-party platform, except as explicitly stated.

The Organizer reserves the right to modify the Start Date or End Date at its sole discretion. Any updates will be published on the competition landing page.

4. General Eligibility

To participate in any competition under this Promotion, participants must meet all of the following criteria:

• •Be 18 years of age or older at the time of entry
• •Have a valid, active Kraken account
• •Have successfully completed KYC verification within Kraken
• •Reside in a jurisdiction where Kraken legally operates
• •Comply with all applicable Kraken policies and platform rules

The Promotion is void where prohibited by law.

Employees, contractors, affiliates of the Organizer, and their immediate family members are not eligible to participate.

5. No Purchase Necessary

No purchase or payment is required to enter the Social Following Competition. A purchase will not increase the chances of winning. The Trading Competition requires trading activity but does not require any minimum purchase amount.

6. Reward Nature & Disclaimer

Rewards consist of USDUC tokens distributed through a transfer on the Solana blockchain. No cash alternative is offered by the Organizer. The Organizer makes no representations or guarantees regarding the market value, liquidity, exchangeability, or future utility of the tokens. Once distributed, tokens may be transferred, sold, or otherwise disposed of by recipients at their sole discretion, subject to applicable laws, taxes, and platform rules. Nothing in this Promotion constitutes an offer or solicitation of an investment, security, or financial product.

7. Taxes

Participants are solely responsible for any taxes, fees, or reporting obligations arising from participation or receipt of rewards.

8. Disqualification

The Organizer reserves the right to disqualify any participant who:

• •Provides false, incomplete, or misleading information
• •Uses bots, automated systems, or fraudulent methods
• •Attempts to manipulate or abuse the Promotion
• •Violates these Terms & Conditions
• •Submits more than one entry per person or circumvents entry limits using multiple identities, accounts, or technical methods

Disqualified participants will not receive any reward.

9. Limitation of Liability

To the maximum extent permitted by law, the Organizer shall not be liable for:

• •Technical failures, outages, or interruptions
• •Lost, delayed, or corrupted entries
• •Errors in trading volume calculations performed by Kraken
• •Delays or failures in prize distribution beyond its reasonable control
• •Any indirect, incidental, or consequential damages arising from participation

Participation is at the participant's own risk.

10. Data Protection & Privacy

Personal data collected in connection with this Promotion will be used solely for administering the competitions and distributing rewards, in accordance with applicable data protection laws. Certain data may be shared with third-party service providers (including Gleam.io and Kraken) strictly for operational purposes.

11. Modification & Termination

The Organizer reserves the right to modify, suspend, or terminate any competition at any time to comply with legal, regulatory, or operational requirements. Changes will be published on the competition landing page.

12. Governing Law

These Terms & Conditions are governed by the laws of the British Virgin Islands, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.

14. Acceptance of Terms

By participating in any competition under this Promotion, participants confirm that they have read, understood, and agree to be bound by these Terms & Conditions.

A.1 How to Enter

To enter the Social Following Competition, participants must complete all of the following actions via the Gleam.io application embedded on the landing page:

1. Follow @krakenfx on X
2. Follow @usduc_coin on X
3. Submit a valid Kraken Public ID
4. Submit a valid USDUC deposit address from Kraken

Limit one (1) entry per person. Multiple entries by the same individual, whether through multiple Public IDs, accounts, email addresses, identities, or any other method, are prohibited and will result in disqualification.

Entries that are incomplete, inaccurate, or submitted outside the Gleam.io application will not be eligible.

A.2 Ongoing Eligibility Requirements

To remain eligible to receive a reward, participants must:

• •Remain following @krakenfx and @usduc_coin on X
• •Maintain a valid and active Kraken account
• •Maintain KYC approval status on the Kraken account

All of the above conditions must be continuously met for 90 days following the Competition End date. Failure to meet any requirement may result in disqualification and forfeiture of any reward.

A.3 Winner Selection & Odds

• •Winners will be selected at random after the conclusion of the competition
• •The odds of winning depend on the total number of eligible entries received

If a participant fails to provide a valid Kraken Public ID, they will be disqualified from receiving a reward. All decisions made by the Organizer regarding eligibility and winner selection are final and binding.

A.5 Reward Notification

Eligible winners will be identified and verified automatically based on the information submitted through the Gleam.io application and the status of their Kraken accounts. Winners will be contacted by email using the email address submitted in the Gleam.io application. Responding to this email is not required to claim any reward. No additional action is required from participants in order to receive a reward, provided all eligibility and ongoing participation requirements are met.

The Organizer reserves the right to verify eligibility, task completion, KYC status, and compliance with these Terms & Conditions prior to distribution.

A.6 Reward Distribution

• •Rewards will be distributed within 90 days after the Competition End
• •Distribution will occur exclusively through a transfer on the Solana blockchain to the provided USDUC deposit address on Kraken

The Organizer is not responsible for delays caused by technical issues, compliance checks, or third-party service providers. Participants are solely responsible for ensuring their Kraken accounts remain active and accessible.

B.1 Kraken Terms

All participants must additionally comply with Kraken's official competition terms, available at: https://www.kraken.com/atmmemecoinshowdownterms

In the event of any conflict between these Terms and Kraken's terms, Kraken's terms shall prevail.

B.2 Eligible Areas

This Competition is open to eligible customers residing in jurisdictions where Kraken operates and where this promotion is permitted by law, including but not limited to:

• •Canada
• •European Economic Area (EEA)
• •United States

Excluded Jurisdictions:

Participation is expressly excluded in:

• •United Kingdom
• •Australia, including New South Wales (NSW), South Australia (SA), Australian Capital Territory (ACT), and Northern Territory (NT)

The Organizer and Kraken reserve the right to restrict or exclude additional jurisdictions at any time to ensure legal and regulatory compliance.

B.3 Trading Pair

Only spot trades executed on the USDUC / USD trading pair on Kraken are eligible for this Competition.

B.4 How to Participate

To participate in the Trading Competition, users must:

1. Meet all eligibility requirements
2. Execute spot trades on the USDUC / USD pair on Kraken during the Promotion Period
3. Register participation by submitting a valid Kraken Public ID and a valid USDUC deposit address on Kraken at the competition landing page

Failure to provide a valid Kraken Public ID and USDUC deposit address will result in disqualification from receiving any reward, regardless of trading activity.

B.5 Performance Criteria & Winner Determination

Trading Volume Calculation:

Kraken will calculate each participant's total notional spot trading volume, defined as the aggregate value of all eligible buy and sell transactions executed on the USDUC / USD spot pair during the Promotion Period.

Ranking:

Participants will be ranked based on their total eligible trading volume. The top five (5) participants with the highest volume will be declared winners. All volume calculations and rankings determined by Kraken are final and binding.

B.6 Exclusions & Limitations

The following activities do not count toward Competition volume:

• •Futures or derivatives trading
• •Margin trading
• •Staking or yield products
• •Stablecoin-to-stablecoin conversions
• •Off-platform transfers or wallet movements
• •Any non-spot market activity

Kraken may exclude any transaction, instrument, or account activity if required by law, regulation, platform risk management, or market integrity considerations. Any attempt to manipulate volume or abuse platform mechanics may result in immediate disqualification.

B.7 Prizes

A total of 2,000,000 USDUC will be distributed as follows:
