These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Late Capitalism Ltd., a British Virgin Islands business company with registered office at Asia Leading Chambers, Road Town, Tortola VG1110, British Virgin Islands, which provides, licenses, and maintains the www.unstable.fi website and related interface software (the “Website” or “Platform”; Late Capitalism Ltd. referred to herein as “Company,” “we,” “us,” or “our”), governing your access to and use of the Website. By accessing, connecting to, or using the Website in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you are expressly prohibited from using the Website.

The Website is a non-custodial front-end interface that enables interaction with decentralized staking vaults powered by Kamino.com vault technology on the Solana blockchain. The Platform does not custody assets, does not control smart contracts, does not execute transactions on behalf of users, and does not have access to user private keys. All transactions are executed directly by users via their own blockchain wallets.

Yield is derived from trading volume of USDUC on PumpSwap and associated creator fees provided by PumpSwap. The availability, calculation, and continuation of yield depend entirely on third-party protocols and market activity. If PumpSwap ceases to provide creator fees for any reason, vaults will generate no APR. The Platform provides no guarantee, representation, or warranty regarding any APR, yield, or profitability. Yield may fluctuate or drop to zero at any time without notice.

You expressly acknowledge and assume all risks associated with decentralized finance participation, including but not limited to: smart contract vulnerabilities; protocol exploits; blockchain network failures; market volatility; liquidity shortages; regulatory changes; technological errors; total loss of principal; and permanent loss of access to digital assets. Deposits are not insured or guaranteed by any governmental authority or private insurer.

Without limiting the foregoing, you further acknowledge the risk of: front-running, MEV extraction, oracle failures, validator misbehavior, chain reorganizations, forks, governance attacks, bridge exploits, stablecoin depegging, loss of liquidity on PumpSwap or any DEX, delisting events, regulatory enforcement against any third-party protocol, phishing, wallet compromise, and user error including transmission to incorrect addresses. You accept full and exclusive responsibility for all such risks.

The Platform does not provide financial, investment, tax, or legal advice and does not owe any fiduciary duties to users. All information is provided for informational and interface purposes only. You are solely responsible for conducting independent due diligence and seeking professional advice.

By using the Website, you represent and warrant that you are at least eighteen (18) years of age and legally permitted to engage in cryptocurrency-related activities in your jurisdiction. You bear sole responsibility for legal compliance.

(a) Prohibited Jurisdictions. You represent and warrant that you are not a citizen, resident, national, tax resident, incorporated in, or physically located in any of the following jurisdictions, and you will not access the Website from any such jurisdiction: the United States of America (including its territories and possessions), the United Kingdom, Canada, Ukraine, the Russian Federation, the Republic of Belarus, the Islamic Republic of Iran, the Democratic People’s Republic of Korea (North Korea), the Syrian Arab Republic, the Republic of Cuba, and the Republic of the Union of Myanmar (Burma) (collectively, the “Prohibited Jurisdictions”).

(b) High-Risk Jurisdictions. You further represent and warrant that you are not a citizen, resident, national, or physically located in any of the following jurisdictions: Afghanistan, the Bolivarian Republic of Venezuela, Zimbabwe, South Sudan, Sudan, Yemen, Libya, Iraq, Lebanon, Mali, the Central African Republic, the Democratic Republic of the Congo, Somalia, and Nicaragua (collectively, the “High-Risk Jurisdictions”). Access from High-Risk Jurisdictions is prohibited.

(c) Sanctions. You represent and warrant that you are not (i) listed on any sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC), the U.S. Department of State, the United Nations Security Council, the European Union, His Majesty’s Treasury of the United Kingdom, or any other applicable sanctions authority (collectively, “Sanctions Lists”); (ii) owned or controlled, directly or indirectly, fifty percent (50%) or more by any person on any Sanctions List; or (iii) acting on behalf of any such person.

(d) No Circumvention. You represent and warrant that you are not using a VPN, proxy, Tor, mirror site, or any other technical means to mask, disguise, or circumvent your true location or identity, and you will not do so. Any such circumvention constitutes a material breach of these Terms and fraud against the Company.

(e) Ongoing Representation. The representations in this Section 6 are made each and every time you access the Website. Any change in circumstances that would render any representation false obligates you to immediately cease all use of the Website.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATE CAPITALISM LTD., THE PLATFORM, AND ITS DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS, ADVISORS, SERVICE PROVIDERS, CONTRIBUTORS, LICENSORS, AND AFFILIATES (COLLECTIVELY, THE “COMPANY PARTIES”) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF FUNDS, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO (I) YOUR USE OF OR INABILITY TO USE THE WEBSITE; (II) ANY SMART CONTRACT, PROTOCOL, BLOCKCHAIN, WALLET, OR THIRD-PARTY SERVICE; (III) ANY BUG, EXPLOIT, HACK, OR VULNERABILITY; (IV) ANY ACT OR OMISSION OF ANY THIRD PARTY; OR (V) ANY LOSS OR THEFT OF DIGITAL ASSETS, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF THE COMPANY PARTIES TO ANY USER, ACROSS ALL CLAIMS AND CAUSES OF ACTION COMBINED, SHALL IN NO EVENT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) IN THE AGGREGATE.

NO RECOURSE AGAINST PROTOCOLS. You acknowledge that the Company does not operate, control, or maintain the Solana blockchain, Kamino vaults, PumpSwap, USDUC, or any other underlying protocol, and you waive any and all claims against the Company Parties arising from the performance, non-performance, failure, exploit, or discontinuation of any such third-party protocol.

COVENANT NOT TO SUE. You agree not to bring, join, or assist any claim, suit, arbitration, or proceeding against any Company Party except as expressly permitted under Section 11 (Governing Law and Dispute Resolution), and only for claims subject to the aggregate cap set forth above.

LIMITATIONS PERIOD. Any claim arising out of or relating to these Terms or the Website must be brought within one (1) year after the cause of action accrues, or be permanently barred.

TAX RESPONSIBILITY. You are solely responsible for determining, reporting, and paying any and all taxes applicable to your use of the Website and any transactions you conduct through underlying protocols. The Company Parties have no tax withholding, reporting, or advisory obligations to you.

You agree to indemnify, defend, and hold harmless Late Capitalism Ltd., its directors, officers, shareholders, employees, agents, and affiliates (collectively, the “Indemnified Parties”) from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Website, violation of these Terms, or violation of applicable law.

THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. THE PLATFORM DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We reserve the right to modify, suspend, or discontinue the Website or these Terms at any time without notice. Continued use following modifications constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms shall be resolved exclusively through binding arbitration seated in the British Virgin Islands under the BVI International Arbitration Centre (BVI IAC) Rules, conducted in the English language before a sole arbitrator, and you waive any right to participate in class actions or jury trials.
